PROGRAM LICENSE AGREEMENT

The University of Texas Health Science Center at San Antonio has worldwide rights to copy, publish, sell, license and distribute Computer Aided Radiographic Evaluation (CARE), including Software, Program Diskettes and Documentation (hereafter referred to as PROGRAM). You assume responsiblity for the selection of the program to achieve your intended results, and for its subsequent use.

GRANT OF LICENSE

University hereby grants to Licensee non-exclusive license to use the PROGRAM upon the terms and conditions contained in this agreement
You may:

1) use the PROGRAM on a single image acquisition system owned, leased or otherwise controlled by you.
2) use the PROGRAM on unlimited analysis workstations owned, leased or otherwise controlled by you.
3) copy the PROGRAM for backup purposes in support of your use of the PROGRAM on the single workstation.

You may not:

1) use the PROGRAM, or merged or modified portions of the PROGRAM, on more than one image acquisition system.
2) copy, rent, distribute, sell, license, sublicense, assign or otherwise transfer the PROGRAM or license, merged or modified portions of the PROGRAM, or any program based on the PROGRAM, to another party except as expressly allowed by the University of Texas Health Science Center.

You must:

1) include a proper citation for the use of said PROGRAM in any publication of research which utilized the PROGRAM.
2) acknowledge the source of the PROGRAM to any granting or funding agency.

RIGHTS OF UNIVERSITY OF TEXAS HEALTH SCIENCE CENTER

You acknowledge and agree that the PROGRAM contains proprietary material belonging to the University of Texas protected under U.S. copyright, trademark and trade secret laws. All rights, titles and interests in the PROGRAM are and shall remain with the University. This agreement does not convey to you any title or interest in the PROGRAM, only the limited right of use which may be terminated as provided for herein. You agree to use your best efforts to protect the PROGRAM from use, reproduction, or other distributuion except as specfically allowed under this license.

TERM

This license is effective for a period of one year from date of purchase.

LIMITED WARRANTY

The PROGRAM is provided "as is" without warranty of any kind, either expressed or implied. The entire risk as to the quality and performance of the PROGRAM is with you.

COMPLETE AGREEMENT

You acknowledge that you have read this agreement, understand it and agree to be bound by its terms and conditions. You further agree that it is the complete and exlusive agreement between us and supersedes any proposal or prior agreement or other communication, oral or written, between us relating to the subject matter of this agreement.
